These Terms of Use ("Terms") govern your access to and use of the website operated by JR Trading ("JR Trading," "we," "us," or "our") at jrtradingsupply.com (the "Site"). Please read them carefully.

1. Acceptance of Terms

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you are using the Site on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf. If you do not agree to these Terms, do not use the Site.

3. Quotes and Orders

Information on the Site about products, categories and services is provided for general information and does not constitute an offer to sell. The following apply to all quotes and orders:

  • Quotes. A quote is an estimate based on the information you provide and is valid only for the period stated on it. A quote is not binding on JR Trading until we accept a purchase order referencing it in writing.
  • Purchase orders. An order is accepted only when we confirm your purchase order in writing. We may decline any order. Where a purchase order or governing solicitation includes its own terms and conditions, those terms govern that transaction to the extent they conflict with these Terms.
  • Pricing and availability. Pricing, product availability, specifications and lead times are subject to change without notice until an order is accepted. We are not responsible for typographical or pricing errors and may correct them at any time.
  • Delivery. Delivery dates are estimates. We are not liable for delays caused by manufacturers, carriers or events beyond our reasonable control.
  • Warranties. Products are covered by the applicable manufacturer warranties, which we pass through to you. JR Trading does not provide a separate warranty on products unless stated in writing on an accepted quote or order.
  • Payment. Payment terms are as stated on the accepted quote, purchase order or invoice.

4. Intellectual Property

The Site and its content, including text, graphics, layout and design, are owned by JR Trading or its licensors and are protected by copyright, trademark and other intellectual property laws. You may view and print pages from the Site for your internal business use. You may not copy, reproduce, modify, distribute or create derivative works from the Site without our prior written consent. Product names, brands and trademarks of third parties shown on the Site belong to their respective owners, and their use does not imply endorsement.

5. Disclaimers

THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components, or that any information on the Site is complete, accurate or current.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, JR TRADING AND ITS OWNERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). Our liability for any order is limited as stated in the accepted quote or purchase order.

7. Indemnification

You agree to indemnify, defend and hold harmless JR Trading and its owners, employees and agents from and against any claims, liabilities, damages, losses and expenses, including reasonable attorneys’ fees, arising out of or relating to your violation of these Terms or your misuse of the Site.

8. Third-Party Links

The Site may contain links to third-party websites. These links are provided for convenience only. We do not control and are not responsible for the content, products or practices of any third-party website, and accessing them is at your own risk.

9. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in the State of New York, and you consent to the jurisdiction of those courts.

10. Changes to These Terms

We may revise these Terms at any time by posting an updated version on this page and updating the effective date. Changes take effect when posted. Your continued use of the Site after changes are posted means you accept the revised Terms.
